1. What responsibility can boards realistically delegate to AI and what must remain human?
Boards can delegate execution, analysis, and pattern recognition. They cannot delegate responsibility.
Responsibility implies accountability for consequences, especially under uncertainty. AI can inform decisions, but it cannot own them. When responsibility shifts implicitly to systems, vendors, or models, it does not disappear but it becomes obscured.
The core governance question is not what AI can do, but what boards choose to remain accountable for.
2. How does AI change the nature of board oversight, even when boards do not “use AI directly”?
AI exposure does not require direct adoption.
